Acórdãos recentes do Tribunal de Justiça de São Paulo vêm consolidando o entendimento de que, muito embora existam limitações aos poderes de representação e vinculação de sociedades, por meio de cláusulas nos contratos sociais e estatutos, se restar provada a prestação do serviço ou entrega da mercadoria ou bem à sociedade irregularmente representada, deve-se considerar legitima a contratação e, portanto, responsável a sociedade pelo pagamento do crédito não satisfeito.

Jurisprudence: Company’s liability based on the Theory of Appearance:
Recent decisions issued by the São Paulo Court of Justice have been consolidating the understanding that companies may be held liable for the payment of outstanding obligations, which had been engaged by means of irregular management acts (those performed beyond the limits established in the bylaws), regardless of any limitations possibly provided under the Company’s bylaws/articles of associations to the management powers.
Such decisions state that, upon enough evidence that the service, the product, or the good that is the purpose of the relevant obligation had been properly delivered to the company, the payment thereof becomes due and legitimate, in spite of the fact that there has been an irregular management act.
