Ana Lúcia Alves da Costa Arduin is a partner in the Corporate, Mergers and Acquisition and Business Agreements practice area at Arduin Advogados.

​

She has broad experience in corporate restructuring operations and structuring of purchases and sales of assets and shares, as well as consortiums, joint ventures, mergers, spin-offs, takeovers, and dropdown transactions, estate planning and wealth management projects. She assists in corporate partnership and business agreement negotiations and advises on the routine operations of limited liability companies or corporations, as well as nonprofit organizations.

She advises and assists on the modeling of corporate governance and compliance structures, as well as code of ethics, internal policies, guidance rules etc.    

She also has extensive experience as an advisor to foreign clients seeking to invest in Brazil to whom she provides both guidance for investment planning (either by means of acquisitions, Greenfield projects, Startups etc.), and the implementation of applicable legal instruments.

She has been lecturing for more than ten years on Business Law and Corporate law in graduate and postgraduate courses in São Paulo, in traditional institutions such as Escola Paulista de Direito, PUC-SP, Universidade Presbiteriana Mackenzie. 

​

She is an effective member of the Corporate Law Institute (IDSA) and of the Family Business Enterprises Study Group (GEEF) sponsored by FGV/SP Law School.  Author of “Legal Theory of Enterprises”, Published by Quartier Latin 2013, as well as of several articles and publications regarding corporate governance and corporate laws, in Brazil.
